1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Legacy Script website (legacyscript.co) and our custom engineering services. By accessing or using our website, you agree to be bound by these Terms.

If you disagree with any part of these Terms, you may not access our website or utilize our services.

2. Services Provided

Legacy Script provides a full stack of advanced IT engineering and custom systems architecture services, including:

• Custom website and web application development
• Hybrid and native mobile application engineering
• Custom software design, automation, and integrations
• Cloud migration advisory, DevOps structures, and pipeline deployment
• Quality assurance, testing automation, and cybersecurity auditing

The specific scope, timeline milestones, and delivery specifications for each engagement will be detailed in individual Service Agreements or Statements of Work (SOW).

3. User Responsibilities

By engaging our platform or services, you contractually agree to:

• Provide comprehensive, accurate inputs and project parameters when requested
• Maintain the strict privacy of any client keys or administrative logins
• Use our platforms solely for lawful software and corporate actions
• Not inject malicious code, trojans, or exploit script vulnerability targets
• Comply with all relevant local and global digital laws

4. Payment Terms

• Pricing Scopes: All quotes are formulated in USD or BDT and remain valid strictly for the timeframe specified in SOW contracts.
• Schedule: Typically, a 50% mobilization deposit is required prior to project commencement, with balance invoicing linked to milestone reviews.
• Overdue Accounts: Delayed payments are subject to a late charge of 1.5% per month on outstanding balances.
• Refund Policy: Milestone deposits are non-refundable once development operations have begun, unless specified otherwise under specific contract terms.

5. Intellectual Property Rights

• Proprietary Technology: The Legacy Script website structure, proprietary plugins, visual assets, and internal frameworks remain our exclusive property.
• Client Codebases: Upon final settlement of all milestone invoices, all custom codebases built specifically for you are transferred to your ownership, unless specified under SOW licensing terms.
• Portfolio Display: Unless explicit NDA constraints are active, we reserve the right to display visual mockups and case studies of completed work.

6. Warranties & Disclaimers

We warrant that all engineering deliverables will be compiled in a professional, workmanlike manner, in accordance with modern clean-code standards.

Except as explicitly outlined, our systems are provided "as is" without warranties of any class. We do not guarantee that software operations will remain 100% free of external network errors, CDN latency, or server downtime.

7. Limitation of Liability

To the maximum scope permitted by law, Legacy Script shall not be liable for any:

• Indirect, auxiliary, or consequential damages
• Loss of corporate profits, operational data, or network connections
• Losses linked to third-party integrations (e.g. database gateways, CMS servers)

Our maximum collective liability under any scenario shall not exceed the exact cash value paid by the client under the SOW contract.

8. Confidentiality

Both parties agree to hold in absolute secrecy all proprietary business data, API credentials, and internal architectures compiled during the contract phase. These mutual confidentiality covenants survive the expiration of general operational SOW contracts indefinitely.

9. Termination

Either party may terminate active SOW operations with written notice as defined in the master contract. We reserve the right to suspend platform access instantly in cases of non-payment or covenant violations, without corporate liability.

10. Governing Law and Dispute Resolution

These Terms are subject to and interpreted strictly in accordance with the laws of Bangladesh. Any dispute arising from SOW implementations that cannot be resolved in good faith negotiation shall be finalized in binding arbitration inside Dhaka, Bangladesh.

11. Changes to Terms

We reserve the right to adjust these master Terms at our discretion. Continual platform navigation following terms publication constitutes absolute client agreement to modified conditions.
